End User Licence Agreement

Important Notice

PLEASE READ THIS END USER LICENCE AGREEMENT CAREFULLY BEFORE ACCESSING OR USING THE BRISHARKS PLATFORM AND PROGRAMME. BY CREATING AN ACCOUNT, MAKING A PURCHASE, OR ACCESSING ANY PART OF THE PLATFORM, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

1. Parties and Definitions

This End User Licence Agreement ("Agreement") is entered into between Youbooks Edtech Pte Ltd, a company incorporated in Singapore with registered address at 200 Cantonment Road, #06-01A, Southpoint, Singapore 089763 ("Licensor"), and the individual registering for or accessing the BriSharks Programme ("Licensee", "you", "your").

In this Agreement:

"Platform" means the BriSharks digital platform accessible at www.brisharks.com and any associated applications

"Programme" means the BriSharks Startup Education Programme including the Learn Module, Build Module, Pitch Module, Master Classes, and all associated digital content

"Content" means all text, video, audio, interactive modules, worksheets, prompts, scripts, frameworks, assessments, and other materials made available through the Platform

"User Data" means any information, work product, ideas, submissions, or materials created or uploaded by you through the Platform

"Minor" means any individual under the age of 18

2. Grant of Licence

2.1 Licence Scope

Subject to payment of the applicable Programme fee and your compliance with this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform and Content solely for your personal, non-commercial educational purposes during your enrolment period.

2.2 Permitted Uses

You may:

Access and complete the Learn, Build, and Pitch Modules

View and participate in Master Classes

Use the platform tools to create your startup project

Submit your work for competition evaluation

Download your own generated outputs (pitch decks, showcase pages, video scripts) for personal use

2.3 Restrictions

You may not:

Copy, reproduce, distribute, publish, or resell any Content or Platform materials

Share login credentials or allow any other person to access the Platform using your account

Use the Platform or Content for commercial purposes, including teaching, consulting, or training others

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform

Remove, obscure, or alter any proprietary rights notices on the Platform or Content

Use automated tools, bots, or scrapers to access or extract Content from the Platform

Upload, post, or transmit any content that is unlawful, harmful, defamatory, obscene, or infringes any third-party rights

3. Intellectual Property

All Content, Platform design, software, trademarks, service marks, trade names, and other intellectual property on the Platform are the exclusive property of Youbooks Edtech Pte Ltd or its licensors. Nothing in this Agreement transfers any intellectual property rights to you. The BriSharks name, logo, and branding are registered or unregistered trademarks of Youbooks Edtech Pte Ltd.

4. Children and Minors — COPPA and International Child Safety

4.1 Parental/Guardian Consent for Under-13 Users

If you are under 13 years of age (or the applicable age of digital consent in your jurisdiction), you may only access and use the Platform with the verified consent of a parent or legal guardian.

4.2 Parental Rights

Parents and legal guardians of users under 13 have the right to:

Review the personal information collected from their child

Request deletion of their child's personal information

Refuse further collection or use of their child's information

Revoke consent and request account termination at any time

4.3 Content Appropriateness

All Programme content is designed to be appropriate for students aged 10–18. Master Classes and Programme materials do not contain adult content, graphic violence, or inappropriate material.

5. Competition — Points, Evaluation, and Selection

5.1 Scoring Structure

Final scores are calculated from three equal components, each weighted at 33.33%:

XP Points (33.33%): Points accumulated during the Learn, Build, and Pitch Module activities

Popular Vote Points (33.33%): Votes received from the BriSharks community on the participant's Pitch submission

Jury Points (33.33%): Scores awarded by the official BriSharks judging panel

5.2 Selection of Top 20

The top 20 participants by combined score will be selected to present their startup in the Grand Pitch Event before the Judging Panel. Selection is based solely on the scoring criteria above. The Company's decision on scores, eligibility, and selection is final and binding.

5.3 Competition Integrity

Any attempt to manipulate popular votes, misrepresent work, submit content created by another person, or otherwise undermine the integrity of the competition will result in immediate disqualification and may result in account termination without refund.

6. Disclaimer of Warranties

THE PLATFORM AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

8. Termination

The Licensor reserves the right to suspend or terminate your access to the Platform at any time and without prior notice if you breach any provision of this Agreement, engage in fraudulent or abusive behaviour, or if your access is otherwise required to be terminated by law.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with this Agreement shall be submitted to the non-exclusive jurisdiction of the courts of Singapore.

10. Amendments

The Licensor reserves the right to amend this Agreement at any time. Updated versions will be posted on www.brisharks.com with the revised effective date. Continued use of the Platform after posting of amendments constitutes your acceptance of the revised Agreement.
